1. Introduction
These Terms of Service ("Terms") govern access to and use of the VACA platform ("Platform") provided by VACA ("VACA," "we," "our," or "us").
VACA is a business-to-business (B2B) purchasing platform designed for organizations to manage employee purchasing, approvals, allowances, reporting, and related workflows.
By accessing or using the Platform, the customer organization ("Customer") and its authorized users agree to these Terms.
2. Customer Use of the Platform
VACA grants Customer a limited, non-exclusive, non-transferable right to access and use the Platform for internal business purposes.
Customer agrees to:
- Use the Platform only for legitimate business purposes
- Ensure users maintain confidentiality of login credentials
- Maintain accurate user and organizational information
- Comply with all applicable laws and regulations
Customer is responsible for all activity performed under its accounts.
3. User Roles and Access
The Platform may include multiple user roles including:
- Company Administrator
- Supervisor
- Employee
- Authorized Customer Representatives
Customer administrators are responsible for:
- Assigning user permissions
- Managing access
- Reviewing activity
- Maintaining user data accuracy
4. Customer Data
Customer retains ownership of all data submitted to the Platform.
Customer grants VACA permission to:
- Store data
- Process data
- Generate reports
- Support integrations
VACA will not sell customer data or use customer data for unrelated purposes.
5. Platform Availability
VACA will use commercially reasonable efforts to maintain platform availability and performance. However, VACA does not guarantee uninterrupted access.
Scheduled maintenance may occur periodically and, when possible, advance notice will be provided.
6. Security
VACA implements reasonable administrative, technical, and physical safeguards including:
- Encryption in transit
- Role-based access controls
- Secure cloud hosting
- Monitoring and logging
Customer is responsible for managing internal access controls and user permissions.
7. Integrations
VACA may support integrations with third-party systems including:
- ERP systems
- HR systems
- Payment processors
- Shipping providers
Customer acknowledges that third-party systems are governed by their own terms and privacy policies.
VACA is not responsible for third-party system availability or performance.
8. Acceptable Use
Customer and users agree not to:
- Attempt unauthorized access
- Interfere with platform operation
- Upload malicious software
- Misuse platform functionality
- Use the platform for unlawful activity
VACA reserves the right to suspend access for violations.
9. Fees and Billing (If Applicable)
If applicable, pricing and billing terms will be outlined in a separate agreement or Statement of Work.
Customer agrees to pay applicable fees in accordance with agreed terms.
10. Data Retention and Export
Upon termination of services:
- Customer may request data export
- VACA will provide reasonable transition assistance
- Data may be deleted after a reasonable transition period
11. Termination
Either party may terminate access in accordance with applicable agreements.
Upon termination:
- Customer access will be discontinued
- Customer data export may be requested
- Outstanding fees remain due
12. Limitation of Liability
To the maximum extent permitted by law:
VACA shall not be liable for indirect, incidental, special, or consequential damages, including:
- Loss of profits
- Loss of data
- Business interruption
VACA's total liability shall not exceed the total fees paid by Customer in the previous twelve (12) months.
13. Indemnification
Customer agrees to indemnify and hold VACA harmless from claims arising from:
- Customer misuse of the Platform
- Customer-provided data
- Violation of applicable laws
14. Changes to Terms
VACA may update these Terms periodically.
Continued use of the Platform constitutes acceptance of updated Terms.
15. Governing Law
These Terms shall be governed by the laws of:
